1. Acceptance of Terms

Welcome to FreeConnect ("Company," "we," "our," or "us"). By accessing or using our website, platform, and services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms in their entirety, you must not access or use the Service. These Terms apply to all visitors, users, clients, and others who access or use the Service.

By using the Service, you represent and warrant that:

• You are at least 18 years of age (or the age of legal majority in your jurisdiction)
• You have the legal capacity and authority to enter into this agreement
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

2. Description of Services

FreeConnect provides an offline marketing platform that enables brands and businesses ("Clients") to create, manage, and execute real-world marketing campaigns, including but not limited to:

• Targeted product distribution and sampling
• Real-world audience engagement and activations
• Location-based campaign planning and execution
• Campaign analytics, tracking, and performance reporting
• Brand ambassador coordination and management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Responsibilities

As a user of FreeConnect, you agree to:

• Provide accurate, current, and complete information when creating an account and executing campaigns
• Maintain and promptly update your account information to keep it accurate and complete
• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
• Ensure that any products distributed through our Service comply with all applicable health, safety, and labeling regulations
• Obtain all necessary licenses, permits, and approvals for product distribution in your target locations
• Respect the privacy and rights of consumers and not engage in deceptive marketing practices
• Keep your account credentials confidential and notify us immediately of any unauthorized access

You are solely responsible for all activities that occur under your account. FreeConnect shall not be liable for any loss or damage arising from your failure to comply with these responsibilities.

4. Account Registration

To access certain features of the Service, you must create an account. During registration, you agree to:

• Provide a valid email address and create a secure password
• Provide accurate company information if registering as a business
• Not create an account using false information or on behalf of another person without authorization
• Not share your account credentials with any third party

We reserve the right to suspend or terminate your account at our sole discretion if we suspect any violation of these Terms, fraudulent activity, or misuse of the Service.

5. Payments & Pricing

Certain features of the Service are offered on a paid basis ("Campaigns" or "Subscriptions"). By selecting a paid plan, you agree to the following:

• Pricing: All prices are listed on our Pricing page and are subject to change with prior notice. Prices are quoted in US Dollars unless otherwise stated.
• Payment Terms: Payments are due at the time of campaign creation unless otherwise agreed in writing. We accept major credit cards and other payment methods as indicated on our platform.
• Billing: You authorize us to charge your selected payment method for all fees associated with your chosen plan and any add-on services.
• Taxes: You are responsible for all applicable taxes, duties, and levies associated with your use of the Service, excluding taxes based on our net income.
• Refunds: Refund policies vary by campaign type and are outlined in your specific service agreement. Generally, campaign fees are non-refundable once execution has commenced.
• Late Payments: We reserve the right to suspend Service access for accounts with overdue payments after providing reasonable notice.

6. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to software, designs, text, graphics, logos, icons, and the FreeConnect brand, are and shall remain the exclusive property of FreeConnect and its licensors.

Our IP: You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof without our express written permission.

Your Content: You retain all rights to the content, materials, and data you upload or provide through the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, reproduce, and display such content solely for the purpose of providing and improving the Service to you.

Feedback: Any suggestions, feedback, or ideas you provide about the Service may be used by us without obligation or compensation to you.

7. Prohibited Activities

In using the Service, you agree not to engage in any of the following prohibited activities:

• Violating any applicable local, national, or international law or regulation
• Distributing illegal, counterfeit, hazardous, or recalled products
• Infringing upon the intellectual property or proprietary rights of others
• Engaging in fraudulent, deceptive, or misleading marketing practices
• Attempting to gain unauthorized access to the Service, other accounts, or computer systems

We reserve the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including reporting such activities to law enforcement authorities.

8. Limitation of Liability

To the fullest extent permitted by applicable law, FreeConnect and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Service interruptions or computer damage
• Any damages arising from your use of or inability to use the Service
• Any conduct or content of any third party on the Service

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total amount paid by you to FreeConnect in the twelve (12) months preceding the claim, or (b) one hundred US Dollars ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability shall be limited to the maximum extent permitted by law.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, FreeConnect disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any information provided through the Service
• Warranties regarding the results that may be obtained from using the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless FreeConnect and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your products, campaigns, or marketing activities conducted through the Service
• Any claim that your User Content caused damage to a third party

11. Termination

These Terms shall remain in effect until terminated by either party as set forth below:

• Termination by You: You may terminate your account at any time by contacting us and discontinuing use of the Service. Termination does not entitle you to a refund of prepaid fees unless otherwise stated.
• Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination may include violation of these Terms, fraudulent activity, or extended inactivity.
• Effect of Termination: Upon termination, your right to use the Service shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiations between the parties. If the dispute cannot be resolved informally within thirty (30) days, either party may seek resolution through the competent courts located in Lahore, Pakistan.

For international users, you agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for ensuring that your use of the Service complies with all laws applicable in your jurisdiction.

13. Changes to These Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. When we make material changes, we will:

• Post the updated Terms on this page with a revised "Last updated" date
• Notify registered users via email or through in-platform notifications at least fourteen (14) days before the changes take effect
• Provide a summary of the key changes where applicable

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must discontinue use of the Service.

14. Third-Party Links & Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by FreeConnect. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that FreeConnect shall not be liable for any damage or loss caused by your use of or reliance on any such third-party content or services.

15. Force Majeure

FreeConnect shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, labor disputes, utility failures, or internet service disruptions.

16. Miscellaneous Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and FreeConnect regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time without notice.
• Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and FreeConnect.
